1. Agreement to Terms

By accessing or using Gigi Drive's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

These terms apply to all visitors, users, and restaurant partners who access or use our services.

2. Description of Services

Gigi Drive provides local food delivery services for restaurants in Fredericton, New Brunswick. Our services include:

• Delivery coordination between restaurants and customers
• Driver dispatch and management
• Order tracking and communication
• Partnership support and account management

3. Partnership Terms

3.1 Pricing and Billing

Restaurant partners agree to pay the applicable monthly subscription fee and per-delivery charges as outlined in their Partnership Agreement. Pricing tiers are based on estimated daily order volume:

• Starter (0-20 orders/day): $199/month + $6.00/delivery
• Growth (21-50 orders/day): $399/month + $6.00/delivery
• High Volume Core (51-80 orders/day): $549/month + $6.00/delivery
• High Volume Plus (81-150 orders/day): $699/month + $5.75/delivery

Billing occurs monthly. Partners may upgrade or downgrade their tier with 30 days' notice.

3.2 Service Expectations

Gigi Drive strives to provide reliable delivery services. Our target delivery time is 30-45 minutes from order confirmation, subject to factors including:

• Restaurant food preparation time
• Weather conditions
• Traffic and road conditions
• Driver availability
• Delivery distance

Delivery times are targets, not guarantees. Gigi Drive is not liable for delays caused by circumstances beyond our reasonable control.

4. Restaurant Partner Responsibilities

As a restaurant partner, you agree to:

• Maintain accurate menu information and pricing
• Prepare orders promptly and according to customer specifications
• Package food appropriately for delivery
• Notify Gigi Drive of any operational changes (hours, menu updates, closures)
• Maintain all required business licenses and food safety certifications
• Respond to customer inquiries and complaints in a timely manner

5. Customer Delivery Fees

Customers pay delivery fees directly based on distance:

• 0-3 km: $4.99
• 4-5 km: $5.99
• 6-7 km: $6.99
• 8-10 km: $8.99
• 11-20 km: $10.99

These fees are collected from customers and are separate from the restaurant partnership fees.

6. Limitation of Liability

To the maximum extent permitted by law, Gigi Drive shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from food quality, preparation, or safety issues
• Delays or failures caused by circumstances beyond our control

Our total liability for any claim shall not exceed the amount paid by you to Gigi Drive in the three (3) months preceding the claim.

7. Termination

Either party may terminate the partnership with 30 days' written notice. Gigi Drive reserves the right to suspend or terminate services immediately if:

• Payment is not received within 15 days of the due date
• The partner violates these terms or the Partnership Agreement
• The partner engages in fraudulent or illegal activity
• The partner's actions harm Gigi Drive's reputation or operations

Upon termination, all outstanding fees become immediately due and payable.

8. Intellectual Property

The Gigi Drive name, logo, and all related trademarks are the property of Gigi Drive. Partners may not use our branding without prior written consent. Any marketing materials featuring Gigi Drive must be approved before publication.

9. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through mediation or arbitration in Fredericton, New Brunswick, in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will provide at least 30 days' notice of material changes to active partners. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
